Ako menadžer tuži tvrtku koja je dobila potporu za očuvanje radnih mjesta, zbog toga što mu nije isplatila bonus, ta kompanija neće moći dobiti povrat tog novca od države ako izgubi taj radni spor.

Takvo pravno tumačenje iznio nam je korporativni pravnik Mićo Ljubenko, komentirajući novu odredbu Hrvatskog zavoda za zapošljavanje, prema kojoj će poslodavac koji traži potporu za svibanj, a zapošljava više od 50 radnika, morati vratiti tu potporu ako isplati menadžerske bonuse.

Odnosno, ako od trenutka dobivanja potpore pa zaključno do 31. prosinca 2021. isplati dividendu, udjel u dobiti ili druge istovjetne primitke koji se smatraju raspodjelom dobiti bilo kojega poreznog razdoblja ili menadžerski bonus. Preciznije rečeno, poslodavac će morati vratiti potporu ako vlastite dionice, odnosno vlastite poslovne udjele dodijeli članovima uprave, izvršnim direktorima, prokuristima i drugim osobama koje su ovlaštene voditi cijelo poduzeće ili njegov dio.

Jednako tako i ako im dodijeli pravo na opcijsku kupnju dionica ili bilo koje drugo pravo koje se temelji na vrijednosti vlastitih dionica. Tvrtka također neće smjeti u tom razdoblju kupovati, odnosno steći vlastite dionice ili vlastite poslovne udjele.

Pa ti budi pametan...

– Situacija je jasna, iako se čini kompliciranom. Poslodavac se mora odlučiti hoće li prihvatiti potporu s tim uvjetima, a bitno je da se odluka ne odnosi retroaktivno na već isplaćene subvencije za ožujak i travanj, nego za svibanj i svaki sljedeći mjesec. Stoga će poduzetnik morati odlučiti hoće li tražiti potporu i riskirati da ga neki menadžer tuži zbog kršenja ugovora o radu, menadžerskih ugovora ili nekih drugih sporazuma.

Ako izgubi taj spor na sudu, poslodavac neće, po mom sudu, imati pravnu osnovu od države tražiti povrat tog novca, jer je znao koji su uvjeti za potporu i da se država ne obvezuje za naknadu štete u slučaju neke menadžerske tužbe – kazao nam je Mićo Ljubenko.

Hrvatska udruga poslodavca je, kako neslužbeno doznajemo, uputila dopis Ministarstvu rada u kojem navode kako je propisani rok do 31. prosinca 2021. predug, te stoga traže da se razmotri propisivanja roka do 31. prosinca 2020. Jednako tako se u pismu predlaže da se taj uvjet odnosi samo na rezultate poslovanja za 2020., a ne za poslovanje 2019.:

– Nametanje ove obveze idućih 19 mjeseci prouzročilo bi odlazak sposobnih manadžera iz ugroženih poduzeća, te uređenje odnosa s njima i zaposlenicima treba prepustiti vlasnicima tih poduzeća.

Dakle, nije jedina stvar potpora koja će spasiti ta poduzeća. Zaboravlja se i na mogućnost da su pojedini poslodavci isplatili dio dobiti za prethodne godine i prije nego što je nastupila pandemija COVID-a 19. Predlažemo da se ovakva odredba briše ili odnosi izričito na 2020.“ - zaključuje se u pismu HUP-a.

Ako menadžer tuži tvrtku koja je dobila potporu za očuvanje radnih mjesta, zbog toga što mu nije isplatila bonus, ta kompanija neće moći dobiti povrat tog novca od države ako izgubi taj radni spor.

Takvo pravno tumačenje iznio nam je korporativni pravnik Mićo Ljubenko, komentirajući novu odredbu Hrvatskog zavoda za zapošljavanje, prema kojoj će poslodavac koji traži potporu za svibanj, a zapošljava više od 50 radnika, morati vratiti tu potporu ako isplati menadžerske bonuse.

Odnosno, ako od trenutka dobivanja potpore pa zaključno do 31. prosinca 2021. isplati dividendu, udjel u dobiti ili druge istovjetne primitke koji se smatraju raspodjelom dobiti bilo kojega poreznog razdoblja ili menadžerski bonus. Preciznije rečeno, poslodavac će morati vratiti potporu ako vlastite dionice, odnosno vlastite poslovne udjele dodijeli članovima uprave, izvršnim direktorima, prokuristima i drugim osobama koje su ovlaštene voditi cijelo poduzeće ili njegov dio.

Jednako tako i ako im dodijeli pravo na opcijsku kupnju dionica ili bilo koje drugo pravo koje se temelji na vrijednosti vlastitih dionica. Tvrtka također neće smjeti u tom razdoblju kupovati, odnosno steći vlastite dionice ili vlastite poslovne udjele.

Pa ti budi pametan...

– Situacija je jasna, iako se čini kompliciranom. Poslodavac se mora odlučiti hoće li prihvatiti potporu s tim uvjetima, a bitno je da se odluka ne odnosi retroaktivno na već isplaćene subvencije za ožujak i travanj, nego za svibanj i svaki sljedeći mjesec. Stoga će poduzetnik morati odlučiti hoće li tražiti potporu i riskirati da ga neki menadžer tuži zbog kršenja ugovora o radu, menadžerskih ugovora ili nekih drugih sporazuma.

Ako izgubi taj spor na sudu, poslodavac neće, po mom sudu, imati pravnu osnovu od države tražiti povrat tog novca, jer je znao koji su uvjeti za potporu i da se država ne obvezuje za naknadu štete u slučaju neke menadžerske tužbe – kazao nam je Mićo Ljubenko.

Hrvatska udruga poslodavca je, kako neslužbeno doznajemo, uputila dopis Ministarstvu rada u kojem navode kako je propisani rok do 31. prosinca 2021. predug, te stoga traže da se razmotri propisivanja roka do 31. prosinca 2020. Jednako tako se u pismu predlaže da se taj uvjet odnosi samo na rezultate poslovanja za 2020., a ne za poslovanje 2019.:

– Nametanje ove obveze idućih 19 mjeseci prouzročilo bi odlazak sposobnih manadžera iz ugroženih poduzeća, te uređenje odnosa s njima i zaposlenicima treba prepustiti vlasnicima tih poduzeća.

Dakle, nije jedina stvar potpora koja će spasiti ta poduzeća. Zaboravlja se i na mogućnost da su pojedini poslodavci isplatili dio dobiti za prethodne godine i prije nego što je nastupila pandemija COVID-a 19. Predlažemo da se ovakva odredba briše ili odnosi izričito na 2020.“ - zaključuje se u pismu HUP-a.

Poslodavac koji koristi potporu riskira tužbu menadžera zakinutih za bonus: ‘Situacija je jasna, iako se čini kompliciranom‘

Ako menadžer tuži tvrtku koja je dobila potporu za očuvanje radnih mjesta, zbog toga što mu nije isplatila bonus, ta kompanija neće moći dobiti povrat tog novca od države ako izgubi taj radni spor.

Takvo pravno tumačenje iznio nam je korporativni pravnik Mićo Ljubenko, komentirajući novu odredbu Hrvatskog zavoda za zapošljavanje, prema kojoj će poslodavac koji traži potporu za svibanj, a zapošljava više od 50 radnika, morati vratiti tu potporu ako isplati menadžerske bonuse.

Odnosno, ako od trenutka dobivanja potpore pa zaključno do 31. prosinca 2021. isplati dividendu, udjel u dobiti ili druge istovjetne primitke koji se smatraju raspodjelom dobiti bilo kojega poreznog razdoblja ili menadžerski bonus. Preciznije rečeno, poslodavac će morati vratiti potporu ako vlastite dionice, odnosno vlastite poslovne udjele dodijeli članovima uprave, izvršnim direktorima, prokuristima i drugim osobama koje su ovlaštene voditi cijelo poduzeće ili njegov dio.

Jednako tako i ako im dodijeli pravo na opcijsku kupnju dionica ili bilo koje drugo pravo koje se temelji na vrijednosti vlastitih dionica. Tvrtka također neće smjeti u tom razdoblju kupovati, odnosno steći vlastite dionice ili vlastite poslovne udjele.

Pa ti budi pametan...

– Situacija je jasna, iako se čini kompliciranom. Poslodavac se mora odlučiti hoće li prihvatiti potporu s tim uvjetima, a bitno je da se odluka ne odnosi retroaktivno na već isplaćene subvencije za ožujak i travanj, nego za svibanj i svaki sljedeći mjesec. Stoga će poduzetnik morati odlučiti hoće li tražiti potporu i riskirati da ga neki menadžer tuži zbog kršenja ugovora o radu, menadžerskih ugovora ili nekih drugih sporazuma.

Ako izgubi taj spor na sudu, poslodavac neće, po mom sudu, imati pravnu osnovu od države tražiti povrat tog novca, jer je znao koji su uvjeti za potporu i da se država ne obvezuje za naknadu štete u slučaju neke menadžerske tužbe – kazao nam je Mićo Ljubenko.

Hrvatska udruga poslodavca je, kako neslužbeno doznajemo, uputila dopis Ministarstvu rada u kojem navode kako je propisani rok do 31. prosinca 2021. predug, te stoga traže da se razmotri propisivanja roka do 31. prosinca 2020. Jednako tako se u pismu predlaže da se taj uvjet odnosi samo na rezultate poslovanja za 2020., a ne za poslovanje 2019.:

– Nametanje ove obveze idućih 19 mjeseci prouzročilo bi odlazak sposobnih manadžera iz ugroženih poduzeća, te uređenje odnosa s njima i zaposlenicima treba prepustiti vlasnicima tih poduzeća.

Dakle, nije jedina stvar potpora koja će spasiti ta poduzeća. Zaboravlja se i na mogućnost da su pojedini poslodavci isplatili dio dobiti za prethodne godine i prije nego što je nastupila pandemija COVID-a 19. Predlažemo da se ovakva odredba briše ili odnosi izričito na 2020.“ - zaključuje se u pismu HUP-a.
